Section 7.01 Disclosure of FD Rules.

Effective from January 1, 2022, Willis Towers Watson Public Limited Company
(the “Company” or “WTW”) realigned to provide its comprehensive offering of
services and solutions to customers in two business sectors: Health, Wealth
and Career (“HWC”) and Risk and Brokerage (“R&B”). Prior to January 1, 2022W.T.W.
operated through four segments: Human Capital and Employee Benefits; Business risk and
brokerage; investment, risk and reinsurance; and distribution of benefits and
Administration. Following the realignment, the two new segments consist of the
following companies:

The HWC segment will include businesses previously aligned under the Human
the Capital and Benefits segment, the Benefits Distribution and Administration segment,
and the investment activity, which previously fell under the activity of investment, risk and
Reinsurance sector.

The R&B segment will include companies previously aligned under the Corporate
the Risk and Brokerage segment, as well as the Insurance advice and technology
activity, which was previously part of the Investment, Risk and Reinsurance division

This segment information is presented on a continuing operations basis.
Certain investmentsRisks and Reinsurance which were part of the
the results of continuing operations for the historical periods presented have been
sold in 2020 and 2021. The revenue and operating profit of these
the businesses have been included as “disposed businesses” in the reconciliations
between the total segment results and the consolidated results of the Company.
The results of the ceded Willis Re treaty reinsurance business were
presented as discontinued operations in the consolidated financial statements
for 2021, 2020 and 2019 in the company’s most recent Annual Report on Form 10-K
filed with the Security and Exchange Commission to February 24, 2022and like
these have been excluded from the divested businesses presented in the segment

Exhibit 99.1 provided with this current report on Form 8-K contains
financial information for 2021, 2020 and 2019 according to the new sector structure.
The changes in segment structure discussed above only affect how
including revenue, organic revenue, operating profit and operating profit
margin results for WTW’s segments were previously published and have no impact on
The previously released consolidated financial statements of WTW, the results of
operations or total organic revenue growth.
